Legal Disclaimer and Terms of Service

By purchasing products and/or services from Scanist you agree that you have read, fully understand, agree to, and are bound by the terms and conditions listed herein.

You are either the owner or authorized administrator of the systems and associated IP addresses for which the Scanist services will be used. You have obtained all necessary approvals, consents, and authorizations required to perform an in-depth audit and examination of the systems and any related services for which Scanist services will be used. You fully understand the services you are ordering and wish for Scanist to provide said services.

Any information obtained by you, or by others authorized to view such information, from Scanist will be used solely for lawful purposes in the local countries of Scanist, you, and the physical location of the systems for which Scanist services will be used. Other companies or individuals associated with the systems for which Scanist services will be used (including, but not limited to, service providers, ISPs, telecommunications carriers, hosting organizations, and consultants) may have acceptable use or terms of service agreements in place. You agree that you are aware of any such additional obligations and that your use of Scanist services, or any information obtained from such services, will not violate any other agreements.

Scanist uses its reasonable best efforts to ensure the accuracy of its services. Any reports or information resulting from any Scanist services are intended to be advisory only. It is your responsibility to ultimately determine what, if any, actions you wish to take as a result of any information you may receive from Scanist. If results from Scanist services are not instantaneous, Scanist will use its reasonable best efforts to provide such results within 48 consecutive hours of the successful ordering of such services. You understand that in some cases Scanist may not be able to provide completed results within 48 hours (possibly due to, but not limited to, network firewalls, latency, Internet conditions, or possible service interruptions). If your results are not completed within 48 consecutive hours, Scanist will use its reasonable best efforts to complete your results as quickly as possible.

The Scanist services may be considered an intrusive operation and may cause a disruption in service. You are aware of this and accept any/all associated risks and are legally authorized to accept any/all associated risks. Using any Scanist services, you have been given the option to disable security tests classified as "denial of service." Your use of any Scanist services may cause alerts, notifications, or similar to be generated by any intrusion detection systems, firewalls, or similar devices or software present in any portion of the logical or physical network connection between the systems for which the Scanist services will be used and the Scanist servers. You agree to permit Scanist to release any non-financial information related to your order of any Scanist services to any verified and authorized owner or administrator of either the systems or IP addresses for which you used the Scanist services. It will be in the sole discretion of Scanist to consider any person or entity as a verified and/or authorized owner and/or administrator of any systems and/or IP addresses. Typically, but not always, a verified and/or authorized owner and/or administrator of any systems and/or IP addresses is the individual and/or entity, or the selected representative or officer or similar of the individual and/or entity, which is listed as any contact of the domain names, IP addresses, or corporate records associated with the systems or IP addresses for which the Scanist services will be used.

SCANIST MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ALL SERVICES AND OBLIGATIONS HEREUNDER, AND ALL SUCH WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, OR FITNESS FOR ANY PARTICULAR PURPOSE ARE HEREBY DISCLAIMED. YOU ACKNOWLEDGE THAT SCANIST HAS NOT REPRESENTED OR WARRANTED THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR WITHOUT DELAY. YOU WILL NOT RELY UPON ANY ORAL REPRESENTATION AND/OR WARRANTY MADE CONCERNING ANY SCANIST SERVICES.

You agree to indemnify, defend, and hold harmless Scanist and its officers, directors, agents, employees and other representatives from and against any and all claims, losses, demands, liabilities, damages, costs, expenses, fines, penalties, or other liabilities (including, without limitation, attorneys' fees) resulting from, or in connection with this agreement, and any results caused by the acts, omissions, or negligence of you, your subcontractors, agents, employees, or directors, or any of them, including, but not limited to, claims of third parties arising out of or resulting from, or in any manner in connection with your use of any Scanist services or any information obtained from the use of any Scanist services. You acknowledge and agree to reimburse and make Scanist whole for any and all legal fees and costs incurred by Scanist in reference to, or in any manner arising out of your use of, any Scanist services or obligations under this agreement, regardless of whether such claims are rightfully or wrongfully asserted against Scanist Scanist shall not be responsible for any consequential damages or punitive or exemplary damages under any circumstances.

Should any provision of this agreement be legally held to be void, invalid, or inoperative, the remaining provisions of this agreement shall not be affected and shall continue in effect and the invalid provision shall be deemed modified to the least degree necessary to remedy such invalidity.
